Terms and Conditions – Genesis Radio Birmingham Client Portal

1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the client portal located at https://clients.genesisradiobirmingham.com (the “Portal”), operated by GCRB Group Ltd (“we”, “us” or “our”), trading as Genesis Radio Birmingham.

By accessing, logging in to, or using the Portal, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Portal.

We may update these Terms from time to time. We will notify you of material changes via the Portal, email, or by posting the new version with a revised “Last updated” date. Your continued use after any changes constitutes acceptance of the updated Terms.

2. The Portal and Our Services

The Portal allows our authorised clients to:

  • View and download invoices and statements relating to advertising and media services provided by Genesis Radio Birmingham.
  • Make secure online payments for outstanding invoices.
  • Manage basic account details and communications.

Access to the Portal is provided for your convenience only and does not replace or vary the terms of any separate advertising, sponsorship, or media services agreement you have with us.

3. Account Registration and Security

  • Only authorised representatives of our clients may create an account or use the Portal.
  • You must provide accurate, complete, and up-to-date information when registering.
  • You are responsible for maintaining the confidentiality of your login credentials (email and password). Notify us immediately if you suspect unauthorised access.
  • We may suspend or terminate your access if we reasonably believe there has been a breach of these Terms or a security risk.

4. Payment Terms and Invoices

  • All invoices displayed in the Portal remain subject to the payment terms agreed in your main contract or advertising booking with us.
  • Unless otherwise stated on the invoice, payment is due within 14 days of the invoice date.
  • Late payments may incur interest and compensation charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (currently 8% above the Bank of England base rate plus fixed compensation).
  • Payments made through the Portal are processed by our secure third-party payment provider. We do not store full card details.
  • All payments are non-refundable except where required by law or as expressly agreed by us in writing.

5. Intellectual Property and Permitted Use

  • The Portal, its design, software, content, and all related intellectual property rights are owned by us or our licensors.
  • We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Portal solely for viewing your invoices and making payments related to our services.
  • You must not:
    • Copy, modify, reverse engineer, or create derivative works of the Portal.
    • Attempt to gain unauthorised access to any part of the system.
    • Use the Portal for any unlawful purpose or in a way that interferes with its operation.
    • Share your login credentials with any unauthorised person.

6. Disclaimers and Limitation of Liability

  • The Portal is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, error-free, or completely secure.
  • We are not liable for any loss or damage arising from your use of the Portal, except where such liability cannot be excluded by law.
  • Our total liability to you (whether in contract, tort, or otherwise) shall not exceed the total amount paid by you through the Portal in the 12 months preceding the claim.
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

7. Termination and Suspension

We may suspend or terminate your access to the Portal at any time, with or without notice, if:

  • You breach these Terms.
  • Your main commercial relationship with us ends.
  • We reasonably suspect fraudulent or unauthorised use.

8. Data Protection

Your privacy is important to us. Our use of your personal data is governed by our Privacy Notice, which is incorporated into these Terms by reference. Please read it carefully.

9. General Provisions

  • Governing Law: These Terms and any dispute arising out of or in connection with them shall be governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
  • Entire Agreement: These Terms, together with our Privacy Notice and any specific invoice or advertising contract, constitute the entire agreement between you and us regarding the Portal.
  • Severability: If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force.
  • No Waiver: Our failure to enforce any right does not constitute a waiver of that right.
